1 Introduction

Welcome to Shaheen Software and Web Solutions ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website at https://shaheensoft.com and all associated professional services, including web design and development, web application development, mobile app development, desktop software development, e-commerce solutions, SEO, and digital marketing (collectively, the "Services").

By accessing our website, submitting an inquiry, or entering into a service agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree, please discontinue use of our website and Services immediately.

2 Eligibility

By using our Services, you represent that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and are using our Services for lawful purposes only. If you are acting on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3 Services We Provide

Shaheen Software and Web Solutions provides the following professional services:

  • Website Design & Development: Responsive, SEO-friendly, and custom-built websites tailored to your brand and business goals.
  • Web Application Development: Scalable, performance-focused web applications built with modern technologies.
  • Mobile App Development: Custom iOS and Android mobile applications.
  • Desktop Software Development: Windows and cross-platform desktop applications, including Electron-based solutions.
  • E-Commerce Solutions: Shopify store development and custom e-commerce platform development.
  • Search Engine Optimization (SEO): On-page, off-page, and technical SEO strategies to improve search visibility.
  • Digital Marketing: Social media marketing, PPC advertising, and content marketing services.
  • Software Consulting: Technical guidance, architecture planning, and project consultation.

The specific scope of Services for each engagement is defined in a separate written proposal or Statement of Work (SOW). These Terms apply in addition to any project-specific agreements.

4 Client Obligations

When engaging our Services, you agree to:

  • Provide accurate, complete, and up-to-date information required to deliver the Services.
  • Promptly respond to requests for feedback, content approvals, or clarifications to avoid project delays.
  • Ensure you hold all necessary rights, licenses, and permissions for any content, logos, images, or materials you provide to us.
  • Make timely payments in accordance with the agreed payment schedule outlined in your proposal or invoice.
  • Use our Services only for lawful purposes and in full compliance with all applicable laws and regulations.
  • Not attempt to reverse-engineer, reproduce, resell, or redistribute our proprietary methodologies or deliverables without prior written consent.
  • Not use our Services to create or distribute content that is illegal, harmful, defamatory, or violates the rights of any third party.

5 Project Agreements and Scope of Work

5.1 Proposals and Statements of Work

Each project begins with a written proposal or Statement of Work (SOW) outlining the scope, deliverables, timeline, and cost. The SOW is binding once signed or confirmed in writing by both parties.

5.2 Scope Changes

Any changes or additions to the agreed scope must be requested in writing. Additional work outside the original scope will be quoted and billed separately. We reserve the right to adjust timelines in the event of approved scope changes.

5.3 Client-Caused Delays

If a project is delayed due to late delivery of content, materials, or approvals by the client, we reserve the right to reschedule the project or apply additional charges for time incurred due to the delay.

6 Intellectual Property

6.1 Client Ownership

Upon receipt of full payment, all custom-developed deliverables created specifically for you — including source code, designs, and graphics — become your property, unless otherwise specified in the SOW.

6.2 Shaheen Software and Web Solutions Ownership

We retain full ownership of all proprietary frameworks, pre-existing codebases, tools, libraries, and methodologies. Nothing in these Terms transfers ownership of our intellectual property to you.

6.3 Third-Party Components

Projects may incorporate open-source libraries, stock assets, or licensed third-party plugins, each subject to their respective licenses. We will disclose the use of significant third-party components upon request.

6.4 Portfolio Rights

We reserve the right to display completed work in our portfolio and marketing materials. If you require confidentiality, you must notify us in writing before project commencement.

7 Payment Terms

7.1 Deposit

A deposit of 40% to 50% of the total project cost is required before work commences. Deposits are non-refundable once work has started.

7.2 Milestone Payments

Remaining payments are structured according to agreed project milestones or upon project delivery, as outlined in your proposal or SOW.

7.3 Invoice Terms

All invoices are due within 7 days of issuance unless a different schedule is agreed upon in writing. Invoices are issued in Pakistani Rupees (PKR) unless otherwise specified.

7.4 Late Payments

Late payments may incur a finance charge of 2% per month on the outstanding balance. We reserve the right to pause or suspend work on active projects until overdue invoices are settled.

7.5 Disputed Invoices

If you dispute any portion of an invoice, you must notify us in writing within 7 days of receipt. Undisputed amounts remain due by the original payment date.

8 Confidentiality

Both parties agree to keep confidential any proprietary, sensitive, or non-public information disclosed during the engagement — including business strategies, technical specifications, client data, and pricing. This obligation survives termination of the service relationship.

Shaheen Software and Web Solutions will not share your project details, business information, or personal data with any third party without your prior written consent, except as required by law or necessary to deliver the agreed Services.

9 Warranties and Disclaimers

9.1 Service Warranty

We warrant that all Services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day bug-fix warranty following project delivery for defects directly attributable to our work, unless stated otherwise in the SOW.

9.2 No Guarantee of Results

For SEO and digital marketing services, we do not guarantee specific search engine rankings, traffic volumes, or revenue outcomes. Results depend on external factors beyond our control, including search engine algorithm changes and market competition.

9.3 As-Is Disclaimer

Except as expressly stated, our Services are provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied.

10 Limitation of Liability

To the maximum extent permitted by applicable law, Shaheen Software and Web Solutions, its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising from your use of our Services.

Our total aggregate liability for any claim related to a specific project shall not exceed the total fees paid by you for that project in the three (3) months preceding the event giving rise to the claim.

11 Indemnification

You agree to indemnify, defend, and hold harmless Shaheen Software and Web Solutions and its owners, employees, agents, and contractors from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of your violation of these Terms, misuse of our Services, or any content or materials you provide to us.

12 Termination

12.1 Termination by Either Party

Either party may terminate a project engagement by providing 14 days written notice to the other party.

12.2 Effect of Termination

Upon termination:

  • You will be invoiced for all work completed and expenses incurred up to the effective termination date.
  • We will deliver all completed work and project files upon receipt of full outstanding payment.
  • Deposits and fees for work already performed are non-refundable.
  • Any third-party costs already committed (hosting, domain registrations, software licenses, advertising spend) are non-refundable.

12.3 Termination for Cause

We reserve the right to terminate Services immediately and without notice if you breach any material term of these Terms, engage in fraudulent or abusive conduct, or fail to make payments that are 30 or more days overdue.

13 Acceptable Use

You agree not to use our Services to:

  • Engage in any activity that is unlawful, harmful, threatening, abusive, harassing, defamatory, or fraudulent.
  • Violate the intellectual property, privacy, or other rights of any third party.
  • Distribute malware, spam, or any malicious code or content.
  • Attempt to gain unauthorized access to our systems or any third-party systems.
  • Misrepresent your identity or affiliation with any person or organization.
  • Create or distribute content that promotes discrimination, hatred, or violence.

14 Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to its conflict of law provisions.

14.2 Dispute Resolution

In the event of any dispute, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, any unresolved dispute shall be submitted to the exclusive jurisdiction of the courts located in Multan, Punjab, Pakistan.

15 Force Majeure

Shaheen Software and Web Solutions shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, internet outages, power failures, government actions, or civil unrest. We will notify you promptly of any such event and resume performance as soon as reasonably practicable.

16 Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted at https://shaheensoft.com/terms-of-service with an updated "Last Updated" date. For material changes, we will make reasonable efforts to notify existing clients by email.

Your continued use of our website or Services after any changes constitutes your acceptance of the revised Terms.

17 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

18 Entire Agreement

These Terms of Service, together with our Privacy Policy and any project-specific SOW or written agreement, constitute the entire agreement between you and Shaheen Software and Web Solutions and supersede all prior agreements, representations, and understandings.
